GENERAL TERMS AND CONDITIONS OF USE

The purpose of these general terms and conditions of use (hereinafter the “GTCU”) is to define the terms and conditions of use of the “renaulutionshareplan.renaultgroup.com” website.

Access to and use of the Site implies that the User unreservedly accepts the GTCU.

1 – Definitions

For the purposes hereof:

“Site” means the “renaulutionshareplan.renaultgroup.com” website published by Renault and providing access to the Elements. The Site includes the Content, software, programs, tools (programming, navigation, etc.), databases, operating systems, documentation and all other elements comprising it, updates and new versions that Renault may bring to the Site.

“Content” means, but is not limited to, the structure of the Site, the editorial content, images, photographs, graphic style, trademarks, logos, acronyms, company names, audiovisual works, multimedia works, visual content, audio and sound content, as well as any other content present on the Site.

“Elements” means the various functionalities and items of information offered on the Site.

“Renault Group” means the various legal entities of the manufacturer Renault.

“User” means an adult individual browsing the Site for his or her own purposes, as part of his or her strictly personal and non-commercial use and not for direct or indirect profit.

2 – Purpose of the Site

The Site is a portal enabling the User to:

  • discover the employee shareplan offered by Renault Group,
  • understand the offer,
  • participate in the operation,
  • access all the legal documents available.

This list is not exhaustive and may be modified at any time by Renault without incurring its liability in this respect.

3 – Access to the Site

The Site is accessed via the Internet at the following address: https://www.renaulutionshareplan.renaultgroup.com

4 – Licence to use the Site

Renault grants the User a personal right [“licence”] to use the Site, the Content and its Elements; this right is non-exclusive, revocable, non-assignable, non-transferable and free of charge.

This licence is granted to the User solely for his or her own needs, to the exclusion of any commercial or for-profit use of all or part of the Content and/or Elements.

The User shall not acquire any rights to the Site, the Content and/or the Elements other than those granted herein.

5 – Obligations of the User

The User undertakes to use the Site in accordance with national and international regulations.

In particular, he or she undertakes to:

  • read and comply with these GTCU,
  • not reproduce, even temporarily and/or partially, the Site and/or its Content, by any means and in any form,
  • not access and/or use the software components of the Site,
  • not use software or processes that are intended to copy the Content and/or liable to disrupt the proper operation of the Site,
  • not adapt, modify, translate, transcribe, compile, decompile, assemble or disassemble all or part of the Site, the Elements and/or the Content,
  • not export the Site and/or merge it with other computer programs,
  • inform Renault if he or she becomes aware of an act of piracy and/or illegal or non-contractual use of the Site and/or its Content,
  • not do any handling and/or introduce any virus or malicious code that is liable to result in computer and/or functional breakdowns liable to affect the proper operation of the Site or any Elements accessed through the Site,
  • not hinder the proper operation of the Site in any way whatsoever,
  • not use the Site to display, download or send any content that contravenes proper morals and public order (such as, but not limited to, any content of a racial, political, religious, pornographic or sexual nature).

As the User is solely liable for the use of the Site, he or she agrees that neither Renault nor the members of its distribution network may be held liable for any direct or indirect damage, including material damage, non-material damage, loss of data or programs and/or financial damage, resulting from access to or use of the Site or due, in particular, to the interruption, suspension or modification of the Site or one of its Elements.

6 – Site availability

Renault undertakes to do its best to provide secure access to, viewing of and use of the Site.

The Site is continuously accessible, except in the event of force majeure or if an event outside the control of Renault occurs, and subject to any failures and any maintenance work required for the Site to operate correctly.

7 – Liability and warranty

Relating to the use of the Site

Within the limits of the applicable laws and regulations, Renault assumes no liability for the User’s use of the Site and does not give any warranty, express or implied, relating to the speed or performance of the Site. In particular, access to the Site may be temporarily and periodically suspended for technical reasons; when applicable, the technical teams will make every effort to resolve the problem as rapidly as possible.

Renault reserves the right to change, at any time and without notice, the information on the Site, and Renault and/or the members of its distribution network and/or its subsidiaries may not be held liable in this regard.

The User accesses and uses the Site at his or her own risk. He or she is responsible for taking all appropriate measures to protect his or her own data and/or software stored on his or her telephone and IT equipment against any attack.

In any case, Renault shall be free from any liability in the event of the following:

  • Failure by the User to comply with these GTCU;
  • A Site malfunction intentionally or unintentionally caused by the User or which can be attributed to a third party or an act of malice, or software, smartphone/tablet, interface or any other product or item provided by the User;
  • A malfunction and/or failure of the User’s computer network and/or communication network regardless of the cause.

Renault does not warrant that the Site is free from any error or anomaly, or that it cannot suffer harm or attacks, including by viruses, that could lead to malfunctions, downtime, failures or the loss of data or information.

8 – Intellectual and industrial property

The Site and its Content are protected by intellectual and/or industrial property rights.

The photographs, text, slogans, images, animated sequences with or without sound and all [other] works integrated into the Site are the property of Renault or of third parties that have assigned their rights to Renault or which have authorised Renault to use them.

The reproduction, imitation, use or affixing, by any process whatsoever and on any medium whatsoever, of all or part of the Content without having obtained the prior authorisation of Renault or of the holder(s) of the related rights constitutes an offence punishable by four years’ imprisonment and a fine of €400,000.

9 – Governing law

The Site and these GTCU are governed by French law, subject to the mandatory rules of the User’s country of residence.

In the event of any dispute related to the interpretation and/or performance of these GTCU, the parties shall try to reach an amicable settlement.

If an amicable settlement cannot be reached, the dispute shall be submitted to the courts of Paris, to which the parties grant sole jurisdiction, notwithstanding multiple defendants or compensation claims from third parties.

10 – Updates of the GTCU

Renault reserves the right to modify and update these GTCU without prior notice, at any time and without informing the Users in advance.

Where applicable, the modifications and updates shall be binding on the User as soon as they are published on the Site, and the User shall be responsible for consulting the GTCU in force whenever he or she logs in to the Site.

11 – Miscellaneous clauses

11.1 No waiver

The fact that one of the parties does not avail itself of a clause of these GTCU shall not be interpreted as a temporary or permanent waiver of the clause in question, which shall remain in force.

11.2 Invalidity of a clause

Should any stipulations of these GTCU be declared invalid, void or not written as a result of the regulations in force, a modification or following a final decision by a competent court, the other stipulations shall remain in full force and effect, and the parties shall undertake to rapidly put in place a valid replacement clause that has an equivalent scope and is as close as possible to the spirit of this agreement.

11.3 Force majeure

Force majeure is expressly considered to include, in addition to those cases usually accepted by the case law of the French courts, bad weather, governmental and legal restrictions and changes, computer failures and the blocking of telecommunications, the failure of Renault servers and any other cases outside the express wishes of Renault.

12 – Processing of your personal data

Your personal data is processed by Renault SAS, in its capacity as Data Controller.
